Terms

Terms of business.

The simple rules for working together. Your quote or proposal sets out the details for your project.

Last updated: add date

Before you publish: this is a starting template, not legal advice. Fill in the highlighted parts and ask a solicitor or a small-business adviser to check it fits how you work.

1. Who we are

"I", "me" and "my" means your full name or business name, your address. "You" means the business that asks me to do work. You can reach me at your email address.

2. Quotes and the work

Before any work starts, I'll send a written quote or proposal. It sets out what I'll do, the price and the timings. Work starts once you accept it in writing, by email is fine.

If you'd like extra work that isn't in the quote, I'll tell you the price first and only start once you agree.

3. Payment

Explain how you charge, e.g. one-off projects: 50% upfront, 50% on completion. Monthly services: paid in advance each month.

Invoices are due within e.g. 14 days. Say whether your prices include VAT.

4. Ad budgets

Money you spend on Google, Meta or other ads is paid by you directly to those platforms. It's separate from my fee. You set the budget, and I won't increase it without your agreement.

5. Your part

To do good work, I need you to give me the access, information, photos and feedback I ask for, in good time. If something is delayed on your side, timings may move.

You confirm that anything you send me, such as photos, logos, reviews and text, is yours to use or that you have permission to use it.

6. Who owns what

Your website, domain, ad accounts, Google Business Profile and social media accounts are yours and stay in your name. Once a project is paid for in full, the work I create for it belongs to you.

I may keep a copy for my records and, with your permission, show it as an example of my work.

7. Results

I'll do the work with care and skill, and be honest about what to expect. But results depend on things I don't control, such as Google, Meta, your competitors and your market. So I can't guarantee rankings, leads, sales or any other result.

8. Ending work

Explain your notice period, e.g. monthly services can be stopped with 30 days' written notice. You pay for work done up to the end date. When we stop, I'll remove my access and hand over anything you need.

9. Liability

Nothing in these terms limits liability that can't be limited by law. Otherwise, my total liability to you is limited to e.g. the fees you paid me in the 12 months before the claim, and I'm not responsible for indirect losses such as lost profits.

10. The law

These terms are governed by the law of England and Wales. If we ever disagree, we'll try to sort it out by talking first.
